Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of DrugRx — the desktop, tablet, and web software, and related services (together, the "Service") — provided by DrugRx ("we", "us", "our"). By downloading, installing, or using the Service, you ("Clinic", "you") agree to these Terms on behalf of your clinic and its staff. If you don't agree, please don't use the Service.

1. The Service

DrugRx is clinic management software for managing OPD/IPD visits, patient records, prescriptions, lab tracking, and billing. It is offline-first: your data is stored locally on your device, with optional sync to our cloud service when your clinic enables it. Features and plan limits vary by subscription tier as described on our pricing page.

2. Accounts & Access

Your clinic administrator creates staff accounts and assigns roles (such as doctor, receptionist, or nurse) that control what each user can see and do. You're responsible for keeping login credentials and PINs confidential, for all activity carried out under your clinic's accounts, and for promptly disabling access for staff who leave. We recommend reviewing staff access periodically.

3. Subscription & Billing

Paid plans are billed as described at the time of purchase (typically annually). Prices exclude applicable taxes unless stated otherwise. Plan limits (such as OPD/IPD visits, patients, or staff users per month) apply as published on our pricing page and may be updated from time to time, with reasonable notice for existing subscribers. Renewals, upgrades, and cancellations are handled through your account or by contacting us directly.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable medical, data protection, or record-keeping regulations.
  • Attempt to reverse-engineer, decompile, tamper with, or circumvent security or licensing controls in the software.
  • Share licensed access beyond what your subscription permits, or resell the Service without our written consent.
  • Upload or enter data you don't have the right to process, or use the Service to store data unrelated to clinic operations.

5. Your Data

All patient and clinic records you enter into DrugRx remain your property. We don't claim ownership over your clinical data. You're responsible for the accuracy of information entered into the Service and for maintaining your own backups where your workflow requires additional assurance beyond our built-in sync. DrugRx is a record-keeping and workflow tool — it does not provide medical advice and is not a substitute for professional clinical judgment.

6. Service Availability

We work to keep the Service reliable, and DrugRx is built to keep working offline even when the internet or our cloud services are unavailable. Cloud sync, updates, and related online features are provided on an "as available" basis and may occasionally be interrupted for maintenance, technical issues, or circumstances outside our reasonable control.

7. Limitation of Liability

To the maximum extent permitted by applicable law, DrugRx and its team shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, revenue, or goodwill, arising out of or related to your use of the Service — including circumstances involving device loss, local hardware failure, unauthorised access resulting from compromised credentials, or events beyond our reasonable control. Where liability cannot be excluded under applicable law, our aggregate liability for any claim relating to the Service is limited to the subscription fees paid by your clinic in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot lawfully be limited.

8. Termination

You may stop using the Service at any time. We may suspend or terminate access if these Terms are breached, if required by law, or if a subscription lapses without renewal. On termination, your local data remains on your device; cloud-synced data is handled per our Privacy Policy.

9. Intellectual Property

The DrugRx software, branding, and website are owned by us and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your clinic's internal operations — nothing more.

10. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above when we do, and material changes will be communicated where practical. Continued use of the Service after changes take effect means you accept the revised Terms.

11. Governing Law

These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of India.
